Terms of Service

By accessing or using the OptiFlow Tools platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or subscribing to a plan, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement.

OptiFlow Tools provides an AI-powered asset acquisition and wholesale automation platform ("Platform") that includes lead sourcing, buyer matching, deal management, contract generation, and related tools across multiple asset verticals including real estate, vehicles, equipment, marine assets, luxury assets, and distressed portfolios. The Platform is provided as a Software-as-a-Service (SaaS) subscription. Features available to you depend on your subscription tier.

To access the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately at [email protected] of any unauthorized use of your account.

Access to the Platform requires a paid subscription. Subscription fees are billed in advance on a monthly or annual basis depending on your selected plan. All fees are non-refundable except as expressly set forth in our Refund Policy. By providing payment information, you authorize us to charge the applicable subscription fees to your payment method. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings. We reserve the right to change subscription fees upon 30 days' notice. Continued use of the Service after a fee change constitutes acceptance of the new fees.

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of others; (c) transmit spam, malware, or harmful code; (d) attempt to gain unauthorized access to any part of the Service; (e) scrape, crawl, or extract data from the Service in an automated manner without our written consent; (f) use the Service to harass, abuse, or harm others; or (g) use the Service for any purpose that is fraudulent or deceptive. We reserve the right to terminate or suspend your account for violations of this Acceptable Use policy.

The Service and its original content, features, and functionality are owned by OptiFlow Tools LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You retain ownership of any data you input into the Platform. By using the Service, you grant us a limited, non-exclusive license to process your data solely to provide the Service to you.

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our data practices as described in the Privacy Policy.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL DEPEND ON YOUR INDIVIDUAL CIRCUMSTANCES AND ARE NOT GUARANTEED. OPTIFLOW TOOLS DOES NOT PROVIDE LEGAL, FINANCIAL, OR INVESTMENT ADVICE. THE PLATFORM IS A TECHNOLOGY TOOL ONLY. YOU ARE SOLELY RESPONSIBLE FOR YOUR BUSINESS DECISIONS.

OptiFlow Tools provides automation infrastructure and business tools only. The Platform does not guarantee any specific financial outcomes, income levels, or business results. Results depend entirely on user execution, market conditions, and individual business decisions. No income guarantees are expressed or implied by OptiFlow Tools LLC, its products, marketing materials, or representatives. You acknowledge that any income or results projections referenced in marketing materials are illustrative only and not a guarantee of future performance.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPTIFLOW TOOLS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms or if we determine, in our sole discretion, that your use of the Service is harmful to us, other users, or third parties. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules.

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
